TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the EverLife Key Digital Vault Service (the “Service”) operated by EverLife Key LLC (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

2. Description of Service

EverLife Key provides a secure digital storage platform (“digital vault”) that allows you to upload and store digital content (“Vault Content”), designate recipients, and configure delivery triggers including inactivity-based release.

The Service is a technology platform only and does not provide legal, fiduciary, or estate planning services. It does not replace a will, trust, or other legal instrument.

3. User Accounts

You agree to provide accurate and complete information, maintain the security of your login credentials, and accept responsibility for all activity under your account.

We are not responsible for unauthorized access caused by your failure to secure your account.

4. Vault Content

You retain ownership of all Vault Content.

By uploading content, you grant the Company a limited license to store, process, and transmit such content solely to provide the Service.

We do not actively review or verify Vault Content except as necessary to operate, secure, or maintain the Service.

Vault Content may include highly sensitive personal, financial, or legal information. You acknowledge that you upload and store such information at your own risk.

5. Recipient Designation and Responsibility

You are solely responsible for selecting recipients, providing accurate contact information, and keeping recipient information current.

We do not authenticate, verify, or validate recipient identity beyond the information you provide and are not responsible for failed, delayed, or incorrect delivery.

6. Delivery and Trigger Events

Vault Content may be delivered based on your configured triggers, including inactivity detection or scheduled release.

You acknowledge that:

We do not verify death, incapacity, or other life events

Delivery may occur automatically based on your settings

Delivery timing and success are not guaranteed

Once Vault Content has been delivered, it cannot be revoked, retrieved, or controlled by EverLife Key.

7. Data Security

We implement reasonable safeguards designed to protect your data, but no system is completely secure.

You are responsible for maintaining backups of any important Vault Content.

8. Prohibited Use

You may not use the Service to store illegal or harmful content, violate intellectual property rights, upload malicious code, or engage in unlawful activity.

We may suspend or terminate accounts for violations.

9. Fees and Payment

Certain features of the Service may require payment.

If purchased through the Apple App Store or Google Play, billing, renewals, cancellations, and refunds are handled by the applicable platform.

If purchased directly from the Company, fees may be one-time or recurring, subscriptions may automatically renew unless canceled, and fees are non-refundable except as required by law.

We may update pricing for future billing periods.

10. Termination and Data Retention

You may terminate your account at any time.

We may suspend or terminate your account only under the following circumstances:

Legal or regulatory requirements

Permanent discontinuation of the Service

Except in cases involving legal or security concerns, we will make reasonable efforts to provide notice.

Upon termination:

Your access may be disabled

Your Vault Content may be retained for a limited period

During this time, you may request export of your data where reasonably possible.

After the retention period, Vault Content may be permanently deleted and cannot be recovered.

We strongly recommend maintaining independent backups of important materials.

11. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE.”

We make no guarantees regarding reliability, delivery, accuracy, or availability.

12. Limitation of Liability

To the fullest extent permitted by law, EverLife Key is not liable for loss of data, failed delivery, unauthorized access, or indirect damages.

Total liability is limited to the amount paid by you in the prior 12 months.

13. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from your Vault Content, recipient disputes, misuse of the Service, or violation of these Terms.

14. No Fiduciary or Legal Role

EverLife Key is not a fiduciary, executor, trustee, or legal advisor.

You should consult qualified professionals for estate planning and legal matters.

15. Additional Policies

Your use of the Service is also subject to additional policies that govern specific features, including vault release, automated triggers, and content storage.

These policies are incorporated by reference into these Terms.

16. Privacy

Your use of the Service is governed by our Privacy Policy.

17. App Store Terms

If you access the Service through an app store, these Terms are between you and EverLife Key LLC.

The app store provider is not responsible for the Service or its support.

18. Export Compliance

You agree not to use or export the Service in violation of applicable laws.

19. Governing Law

These Terms are governed by the laws of the State of Delaware.

20. Dispute Resolution

Disputes may be resolved through binding arbitration.

You waive the right to participate in class actions where permitted by law.

21. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance.
